Merchant Terms of Service

These terms govern your use of the Camdell merchant platform. If something's unclear, email legal@camdell.in.

1. Acceptance

By registering as a merchant on Camdell, you agree to these Terms of Service ("Terms") and our Privacy Policy. If you are registering on behalf of a business entity, you confirm that you have authority to bind that entity. If you do not agree, do not use the platform.

2. Merchant eligibility

To sell on Camdell you must:

  • Be at least 18 years old.
  • Be resident in India or operate a business registered in India.
  • Hold a valid PAN. A GSTIN is required if your annual turnover exceeds ₹20 lakh.
  • Provide a valid UPI handle or bank account for settlement, verified through Razorpay.
  • Sell only categories approved by Camdell and not prohibited under Indian law.

3. Your shop on Camdell

You are responsible for the accuracy of your product listings, prices, stock levels, and delivery commitments. Camdell provides tools; you run the shop. You retain ownership of your product catalog and business content. By uploading content, you grant Camdell a non-exclusive, royalty-free licence to display and promote your listings on the platform and in marketing materials.

4. Commissions & payments

Camdell charges a commission on each successfully delivered order at the rate applicable to your plan (Starter 12%, Growth 8%, Scale 6%). This rate is all-inclusive: it covers Razorpay's payment processing fee and Camdell's platform fee. No additional fees are deducted from orders unless explicitly stated in a separately negotiated agreement.

All customer payments are collected by Razorpay on Camdell's behalf. Commission is deducted before settlement. Camdell issues a valid GST-compliant tax invoice for its commission service to merchants registered under GST.

5. Payouts & settlements

Net proceeds (order value minus commission) are settled by T+1 — the next business morning — via your registered UPI handle or bank account. Settlements are subject to:

  • A minimum payout threshold of ₹100.
  • Successful completion of Razorpay KYC verification.
  • No active disputes or holds on your account.

Camdell may withhold settlement if there is a reasonable suspicion of fraud, an active legal order, or a violation of these Terms. We will notify you promptly in such cases.

6. Prohibited conduct

You may not:

  • List counterfeit, prohibited, or controlled goods (arms, scheduled drugs, adult content, etc.).
  • Misrepresent product condition, origin, or safety certifications.
  • Manipulate ratings or place fraudulent orders.
  • Use the platform to launder money or circumvent Razorpay KYC.
  • Harvest or misuse customer contact data obtained through Camdell beyond the permitted purpose of fulfilling orders and marketing to your own buyers.

7. Intellectual property

The Camdell platform, brand, and software are owned by Camdell Technologies Private Limited. You may not copy, resell, or reverse-engineer any part of the platform. Your product images, descriptions, and brand identity remain yours. You grant Camdell the right to use them for platform display and marketing as described in Section 3.

8. Suspension & termination

Either party may terminate the merchant relationship with 7 days' written notice. Camdell may suspend or terminate your account immediately for material violations of these Terms, including fraud, prohibited listings, or legal orders. Pending orders at the time of termination will be fulfilled or refunded. Outstanding balances (net of any disputes) will be settled within 14 business days of termination.

9. Limitation of liability

To the maximum extent permitted by Indian law, Camdell's total liability to any merchant is limited to the commissions paid by that merchant in the 3 months preceding the claim. Camdell is not liable for indirect, consequential, or punitive losses, including loss of profits or data. Nothing in this clause excludes liability for death, personal injury, or fraud caused by Camdell's gross negligence.

10. Governing law

These Terms are governed by the laws of India. Disputes will be resolved by the courts in Bengaluru, Karnataka, India. For disputes under ₹5 lakh, the parties agree to attempt mediation under the Mediation Act, 2023 before filing suit.
